Terms & Conditions

1. Acceptance of Terms

By storing inventory, utilizing fulfillment services, or otherwise engaging Robidoux Warehousing (“RW,” “we,” “our,” or “us”), the Client (“Client,” “you,” or “your”) agrees to be bound by these Terms and Conditions.

These terms govern all storage, handling, fulfillment, and related services provided by RW.

2. Services Provided

Robidoux Warehousing may provide:

Inventory receiving and inspection
Storage of goods
Order picking and packing
Shipping coordination
Returns processing
Inventory reporting
Additional agreed-upon logistics services

All services are subject to availability, operational capacity, and written agreement.

3. Storage & Handling

Goods will be stored in our facility located in Lincoln, Nebraska.
RW will exercise reasonable care in handling and storing Client inventory.
RW does not guarantee climate control unless expressly agreed to in writing.
Client is responsible for ensuring goods are properly packaged for storage.

RW reserves the right to refuse improperly packaged, hazardous, illegal, or restricted goods.

4. Prohibited Goods

The following items may not be stored without prior written approval:

Hazardous materials
Flammable, explosive, or toxic substances
Perishable goods
Firearms, ammunition, or regulated products
Illegal or counterfeit goods

Client agrees to indemnify RW for any damages, fines, or liabilities arising from undisclosed prohibited goods.

5. Inventory Accuracy & Reporting

Client is responsible for providing accurate SKU, quantity, and product data.
RW will maintain inventory records based on goods received.
Any discrepancies must be reported within 5 business days of receiving inventory reports.
Physical inventory counts may be subject to additional fees.

6. Shipping & Fulfillment

RW will process orders according to instructions provided by Client.
Shipping timelines are estimates and not guarantees.
RW is not responsible for carrier delays once goods leave the facility.
Shipping costs, insurance, and carrier fees are the responsibility of the Client unless otherwise agreed.

7. Insurance & Limitation of Liability

Client Responsibility

Client is responsible for maintaining adequate insurance coverage for stored goods.

RW Liability

Unless otherwise agreed in writing:

RW’s liability for loss or damage is limited to the lesser of:
- The replacement cost of the goods, or
- $0.50 per pound per affected item

RW is not liable for:

Acts of God (fire, flood, tornado, etc.)
Theft beyond reasonable security measures
Carrier damage
Manufacturer defects
Improper packaging by Client

8. Payment Terms

Invoices are due within [Net 15 / Net 30] unless otherwise agreed.
Late payments may incur interest at 1.5% per month (or maximum allowed by law).
RW reserves the right to suspend services for overdue accounts.
Client grants RW a warehouse lien on stored goods for unpaid balances, as permitted by law.

9. Warehouse Lien

RW shall have a lien against stored goods for unpaid storage, handling, and other charges. Goods may be sold or disposed of in accordance with Nebraska law to recover unpaid amounts.

10. Term & Termination

Either party may terminate services with [30] days written notice.

Upon termination:

Client must remove inventory within [15–30] days.
Storage charges continue until inventory is removed.
Unclaimed goods may be considered abandoned after 60 days.

11. Indemnification

Client agrees to indemnify and hold harmless Robidoux Warehousing, its employees, and affiliates from claims, damages, penalties, or liabilities arising from:

Product defects
Improper labeling
Intellectual property infringement
Regulatory violations
Customer claims related to Client products

12. Compliance

Client is responsible for ensuring that all goods:

Comply with federal, state, and local laws
Meet labeling and regulatory standards
Are legally authorized for sale and distribution

13. Confidentiality

RW will not disclose proprietary information provided by Client except as required to fulfill services or by law.

14. Force Majeure

RW shall not be liable for delays or failure to perform due to circumstances beyond reasonable control, including natural disasters, labor shortages, carrier disruptions, or governmental actions.

15. Governing Law

These Terms shall be governed by the laws of the State of Nebraska. Any disputes shall be resolved in Lancaster County, Nebraska.

16. Modifications

RW reserves the right to modify these Terms and Conditions at any time. Updated terms will be posted and become effective upon publication.
